自我国公司法及相关司法解释的出台，我国有限责任公司股东查阅、复制权的行使制度不断完善。目前，我国公司法又进行了进一步的修订，股东查阅、复制权的行使程序、行使规则等不断完备，但是，其中仍然存在一定的问题，例如保障性不足、制度间的衔接性不强、证明责任不够明确等。股东查阅、复制权是股东维护自身利益的重要权利之一，同时也是股东对公司进行监督的有效方式。股东如何行使查阅、复制权事关股东的利益和公司的发展。目前，在我国的司法实践中，股东查阅、复制权诉讼在公司治理纠纷中较为多发，而有限责任公司的股东查阅、复制权诉讼相比其他类型公司占比最大。因此，对我国有限责任公司股东查阅、复制权的行使制度进行完善，既有利于构建完整的公司法律体系，也有利于解决现实中的公司治理问题，推动公司的良好发展。

本文将通过比较分析法、案例分析法等研究方法对我国有限责任公司股东查阅、复制权行使制度的立法现状及问题进行分析，从法律规定到程序保障的角度对我国有限责任公司股东查阅、复制权的行使制度进行完善，包括完善公司章程的条款、公司的相关责任、明确相关证明义务，并引入第三方监督机制对股东查阅、复制权的行使制度进行衔接，以及对查阅、复制权的行使进行必要的规制等。此外，本文还将根据我国有限责任公司的实际情况，通过借鉴域外法关于股东查阅、复制权的相关规定，力图构建我国完善的股东查阅、复制权制度，不断推动我国股东知情权制度朝着完备化的方向发展。通过对我国有限责任公司股东查阅、复制权行使制度进行不断地完善，将有利于在保障股东权益的同时,规范公司的治理体系，减少案件纠纷，推动市场经济有序发展。

The implementation of Chinese Company Law and its applicable judicial interpretations has seen an ongoing improvement in the system of shareholder inspection and reproduction rights of limited liability companies in China. At present, China's Company Law has been revised again, and the procedures and rules for exercising shareholder inspection and reproduction rights have been continuously improved. However, there are still certain problems. For example, insufficient protection of rights, weak linkage between systems, and unclear burden of proof. Shareholders' right to inspect and reproduce is a fundamental entitlement to safeguard their own interests, and it is also an efficient means of overseeing the company. The manner in which shareholders exercise this right is linked to their interests and the advancement of the firm. At present, in Chinese judicial practice, shareholder inspection and reproduction right litigation is more frequent in corporate governance disputes, and shareholder inspection and reproduction right litigation in limited liability companies accounts for the largest proportion compared with other types of companies. Therefore, improving the system for exercising the right of inspection and reproduction of shareholders of Chinese limited liability companies is not only beneficial to constructing a complete corporate legal system, but also to resolving the issues of corporate governance in reality and advancing the company's prosperity.    

In this paper, comparative and case analysis will be used to evaluate the legislative standing and problems of the shareholder inspection and reproduction rights exercise system in Chinese limited liability companies, and to enhance the system of exercising the right of inspection and reproduction of shareholders of Chinese limited liability companies from the perspective of provisions of law and procedural guarantees. The articles of incorporation should be enhanced, the obligation of company and burden of proof should be made clear, and a third-party supervision system should be established to link shareholder inspection and reproduction rights, as well as the necessary regulations for inspection and reproduction rights to exercise, etc. In addition, based on the actual situation of limited liability companies in China, this article endeavors to construct a perfect shareholder inspection and reproduction rights system in China, drawing upon the regulations of foreign laws. By continuously improving the system for exercising shareholder access and copying rights in Chinese limited liability companies, it will be beneficial to protect shareholder rights, regulate the company's governance system, reduce case disputes, and promote the orderly development of the market economy.
