中文摘要:

Literature indicates the successful application of Corporate Governance (CG) principles in an organisation has a catalytic effect on excellent service delivery. Despite the SOEs adopting various CG principles and models, TransNamib is still facing serious corporate governance challenges. Therefore, this study sought to assess the employee’s perceptions on the practices of CG principles at the TransNamib. The study adopted a descriptive research design, which involved the collection of quantitative data. Using a purposive sampling technique, a sample of 90 participants was drawn from TransNamib. Descriptive statistics such as frequency tables and pie charts were created for visual presentation of the results.
Results show that TransNamib employees have mixed perceptions towards the application of CG principles at the TransNamib. Survey results show that to some extent, appropriate legal frameworks are being applied at the TransNamib.  However, a negative accountability total score revealed that the respondents disagree that the municipality has systems which are set in place to prevent fraud. This means that if there are systems in place for such activities, they need to be spelt out clearly for the stakeholders to see their effect. This shows very low levels of transparency.
From this result, it could also be learned that in order to improve TransNamib operations and perceptions, it is really important for the TransNamib to first improve on the application of corporate governance principles.
The thesis further recommends that ethical values and standards should be embedded throughout the TransNamib and should form the basis for all its policies, procedures, and actions, as well as the personal behaviour of the members of its governing body and other staff. Whistle blowing processes should also be established whereby individuals or groups are able to draw formal attention to practices that are unethical or violate internal or external policies, rules or regulations and to ensure that valid concerns are promptly addressed.
