风险投资的退出机制是风险投资的关键。我国风险投资退出机制中的问题制约风险投资资本的变现退出行为 ,这在一定程度上打击了风险资本的积极性 ,我国风险投资业务的发展也难以维持。在介绍了风险投资的几种主要的退出机制以及对德国和美国的风险推出机制进行了国际比较后，本文结合我国风险投资退出机制存在的问题 ,提出了完善我国风险投资退出机制的对策。

Retreat Mechanism is the key of venture capital. The problems in China’s venture capital’s Retreat Mechanism restrict the retreat of venture capital’s investment. It shocks the investors and it is hard to maintain the development of China’s venture capital. After the introduction of the main ways of the Retreat Mechanism and the comparison of that in Germany and the USA respectively, the paper analyses the problems of Retreat Mechanism of venture capital in China, and presents its corresponding measures.
