企业集团，是企业组织机构制度创新的结果，是适应生产力发展的社会化大生产的产物。组建大型企业集团，是中央和地方各级政府孜孜以求的目标。本文从四个方面论述了企业集团问题。第一章，阐述企业集团的概念、性质和法律地位; 第二章，从经济学理论角度出发并结合我国的现实情况，论述发展企业集团的重要性; 第三章， 着重解释了企业集团与市场结构的关系; 第四章，论述政府在企业集团发展中应起的作用。 本文从理论的角度，探寻企业集团作为企业组织机构制度创新的结果，得到广泛的承认和推广的原因。诚然，在中国，有人认为，很多人追求组建大企业集团是为了赶“时髦”。但是，在全世界更广更深的范围内，企业集团的组建、发展和推广是出于经济上的原因:那就是成本、利润、效率、节约这些方面的考虑。事实上，企业集团在国际上和我国的发展已经证明了这一点。

Industrial groups is always a focus in theoretical and practical fields. As a result of institutional innovation of enterprise organization, the formation of industrial groups is actually an outcome of social production . To build huge conglomerates is the aim which the central and local governments longing for. This thesis discusses industrial groups from four aspects. First, the nature and legal status of industrial groups. Second, the reasons why industrial groups developed. Third , the relationship between industrial groups and market structure.Fourth,the role of governments in building of industrial groups. Particularly, this thesis probe it from an academic view, as a result of institutional innovation of enterprise organization, why industrial groups are widely recognized and accepted. Of course, someone says that many persons who are in pursuit of industrial groups in China just want to keep themselves in kind of trend.The true facts show, however, that the reason why industrial groups are well founded,develop and spread in the whole world is the considerations in economic fields. They are cost, profit, efficiency and surplus. If they are not, industrial groups will be a fun in economics.
