文章通过对我国存在的三种私募股权投资基金存在方式的阐述，较为深入地分析了我国私募股权投资基金发展的现状，运用理论与实际相结合方式，提出了我国私募股权投资基金存在的诸多问题，同时，海外私募股权投资机构通常运用完美闭环操作，用股权投资方式进入中国。但由于中国种种政策的限制，私募股权投资机构一般利用离岸公司进行投资，以便资金退出。本文介绍了海外私募股权基金在我国的运营模式，从中得到关于私募股权投资在中国能顺利发展的建议。

Foreign private equity institutions usually take the perfect closed loop operation to enter into China by means of equity investment. But due to the policy restriction in China, the private equity institutions will make use of off-shore companies and the process of their offshore restructuring and the current situation of the investment in China by the private equity institutions with offshore company. The thesis gives a snapshot of private equity fund in Chinese capital market and reveals that the underlying issues plaguing Private equity(PE)are：market participants are not well organized，lack of an efficient operation mechanism，out of date concepts，vehicle and method associated with investment management，and problematic exit channe1 , in response to such issues and in hopes to promote PE in Chinese financial market，it is suggested strengthening more introductions of government policy into the market，encouraging private capitals to enter the market，legitimating LLP(Limited liability partnership) , improving financial innovations and fostering dimensional capital market．
