合规量刑激励制度主张将企业合规作为企业犯罪的抗辩理由,并因此到量刑上的减轻甚至免除。即企业若能证明其内部存在合理且实际有效的企业合规计划,可避免将企业员工的职务犯罪行为归咎于企业自身。该制度起源于美国,企业合规计划的刑法意义引起了全球的重视,并被世界多个国家借鉴入刑法。

美国适用的雇主责任原则导致有犯罪意图的雇员成为了企业的梦魇雇员可以通过实施与企业意愿和政策相悖的违法行为来拖垮一个相对无辜的企业。美国司法部为弥补该原则的缺陷和不足,在组织量刑指南》中对合规的量刑激励制度进行了规定并对有效合规计划的标准进行了规定。针对该制度的不同证明重点可以将此分为四个要素类型:包括尽职调查辩护、积极辩护善意辩护以及将合规计划视为犯罪构成要件的方法。

建立合规计划的量刑激励制度的合理性在于该制度可以增加刑法对企业的威慑力,鼓励企业建立道德的有效合规计划,进而减少企业犯罪,甚至有助于提高公众的司法信心,优化司法分配资源,企业也进而自发地与司法机构进行合作。

英美及其他国家对该制度的规定和实践证明,该制度并不是一种毫无经验的冒险行为,而且对他们的司法产生了实质性的积极影响。当然,也有学者看到了该制度中企业可能存在的虚假诚意等问题,进而担忧合规计划成为了企业刑事责任的橱窗装饰物。但是这些问题在合理的制度设计下并不是不可避免的。

将合规计划引入我国刑法的做法仍然面临极大的挑战性和制度先进性,但通过对量刑激励措施和有效合规计划加以规定,国内企业就有动力去建立切实有效的合规计划我国对于量刑激励措施的制定,首先可以在刑法中将其作为量刑情节加以规定并且主要适用在对企业的罚金刑上,其次在刑事诉讼法上也可以通过制度的修正与该制度相呼应。不过在我们试图移植该制度时,应当理性的辩证分析,这样在吸收国外先进制度的同时,克服其先天存在的缺陷,更好的促进和鼓励我国的企业合规计划建设。

The significance of the corporate compliance program in criminal law has attracted global attention. The sentencing incentive system for compliance provides an approach that regard compliance as a defense reason for corporate crimes, and is therefore mitigated or even exempted from sentencing. If companies can prove that a reasonable and practical corporate compliance program exists internally to avoid punished heavily because of their employees’ job-related wrongdoing. The system originated in the United States and has been incorporated into criminal law by many countries around the world.

The respondeat superior principle applicable in the United States have made employees with criminal intent a nightmare for enterprises, and employees can completely bring down a relatively innocent enterprise by implementing illegal acts that are contrary to the wishes and policies published by the enterprise. In order to make up for the shortcomings and deficiencies of this principle, the United States Department of Justice(DOJ) has provided for a compliance sentencing incentive system in the Organizing Sentencing Guidelines, as well as standards for effective compliance programs. Proofs of focus in criminal proceedings can be divided into four types of defense, including due diligence defenses, affirmative defenses, good- faith defenses, and methods of regarding compliance programs as elements of a crime.

And the law should encourage companies to establish high-quality and strict compliance programs, not just a “fig leaf”. Establishing a sentencing incentive system for compliance programs can increase the deterrent effect of criminal law on enterprises, encourage companies to establish ethical and effective compliance programs, thereby reducing corporate crimes, and even help increase public confidence in the judiciary and optimize judicial allocation of resources, Companies may also cooperate spontaneously with the judicial agencies.

The regulations and practice of the system in Britain, the United States and other countries prove that the system is not an inexperienced risk-taking system, and it has a substantial positive impact on their justice. Of course, some scholars have seen such issues as possible false sincerity in the program, and they worried that the compliance program will become a decorated tool to escape from corporate criminal responsibility. These problems are not unavoidable under a reasonable system design.

Of course, the introduction of compliance plans into China's criminal law is extremely challenging and advanced. However, by providing for sentencing incentives and effective compliance plans, domestic companies have the incentive to establish effective compliance plans. The legislation of incentive measures for sentencing in China can first be defined in the criminal law as a sentencing circumstance and is mainly applied to fines imposed on corporations. Secondly, in the Criminal Procedure Law, the system can be echoed through amendments to this system. However, when we are trying to transplant this system, we should prudently analyze it, so as to absorb advanced foreign systems, overcome its inherent defects, and better promote and encourage the construction of China's corporate compliance program.
