员工持股(ESOP)是一种针对员工的特殊的报酬计划,是指为了吸引、保留和激励公司员工,通过让员工持有股票,使员工享有剩余索取权的利益分享机制和拥有经营决策权的参与机制。市场调研行业作为一个知识密集型的行业,员工是企业最重要的生产资源和资产,因此,在企业经营中,如何激励员工,如何留住人才就成为了管理中非常重要的一个课题,员工持股是可以选择的一种手段。在国内市场调研公司的管理实践中,并未有实施ESOP的先例。本篇论文旨在通过文献研究法和案例分析法,对ESOP的主要方法和形式进行分析,依托ESOP相关理论,对中国市场调研行业中ESOP的实施现状及可行性进行分析,希望能够结合笔者实际工作中的情况,结合 H公司在对ESOP的实践设计进行分析,探讨实施过程中的难点,提出解决办法。

An employee stock ownership plan (ESOP) is an employee-owner scheme that provides a company's workforce with an ownership interest in the company. In an ESOP, companies provide their employees with stock ownership, often at no cost to the employees. Shares are given to employees and may be held in an ESOP trust until the employee retires or leaves the company. The shares are then sold.The market research industry, as a knowledge-intensive industry, the staff is the key resources and assets. Therefore, it is important things that how to motivate employees and how to retain talent staffs. Employee stock ownership is a kind of method to be chosen. In China, no domestic market research company has carried out ESOP before.This thesis base on literature research method and case analysis method. I try to analysis main methods and forms of ESOP by using the ESOP theory. Then I will analysis the implementation status and feasibility of ESOP in China market research industry. Finally, based on the actual work situation and the H Company’s working before, I will design an ESOP plan for H Company and submit solutions for the difficulties in the implementation process of the plan.
