改革开放以后，我国的民营企业发展迅猛，一大批优秀的家族企业脱颖而出。然而随着市场环境不断变化，我国的家族企业暴露出了越来越多的股权结构和治理结构方面的问题，这些问题使得我国家族企业面临着巨大的挑战。本文围绕着家族企业的股权结构和治理结构问题，查阅了大量中外相关的文献书籍，初步认识了国内外家族企业各种模式的不同特点。在此基础上，以太阳纸业为案例，具体讨论股权结构对公司治理结构的影响。虽然得出了股权集中程度与公司治理的好坏之间不存在明确线性关系的结论，但从中发现了我国家族企业现阶段存在的“家企不分”、独立董事制度不够完善等具体问题，最后提出了调整股权结构、加强董事会建设等相应的解决办法。

After the Reform and Opening up, China's private enterprises have got a rapid development, a large number of outstanding family firms coming to the fore. However, with the ever-changing market environment, China's family business has exposed more and more problems on the equity structure and the governance structure, which bring our family business enormous challenges. This article has searched a large number of Chinese and foreign literature books around the topic of the ownership structure and the governance structure of the family business, thus helping us have a preliminary understanding of the different patterns of domestic and foreign family business. On this basis, refer to the Sun Paper Industry as a case, the article discusses how the equity structure influences the governance structure. Although there is no clear linear relationship between the concentration of ownership and the quality of corporate governance, the article does discover some specific problems, such as "no distinction between family and enterprise" in China's family enterprises at this stage, and imperfection the independent director system. In the end, the article proposes some solutions to the problems, such as adjusting the equity structure and strengthening the constructions of the board of directors.
