大学作为一个特殊的社会组织，尤其在美国，所有的高等学校都是独立法人，董事会运行相应的法律、法规保障，具有决定学校行政财政大政方针、任命校长和制定学校长期的发展规划和最终仲裁权，而实施行政权力的主体则是校长。董事会通过遴选校长，赋予校长治校的权力，并在校长权力行使过程中进行监督和最终评估。美国的校董事会和校长之间的互动关系，为美国大学选出杰出的校长，并为其提供施展治校理念的合理制度空间。本文旨在梳理美国知名高校校长从权力获得到权力行使，到最后辞职整个过程中与董事会之间的关系，从而分析二者在领导与管理的制衡关系中如何影响并推动着美国高校的发展。

The University as a special social organization, particularly in the United States, all the colleges and universities are independent legal entities, the Governing Boards running the corresponding laws, regulations has decided to major policies, the appointment of university’s presidents and long-term planning , education and the ultimate resolution authority, and the implementation of administrative power is the main presidents. Governing Boards approved the selection of presidents, gave the school governing power to presidents and supervised the course of the exercise of power and made the final assessment of the president. The interaction between U.S. Governing Boards and president created a reasonable system to elect the outstanding University presidents, and provided a display space for them to achieve their strategies. This paper aims to summarize the whole process of the well-known U.S. university president to receive power from the Governing Boards and to exercise of the power, to the final resignation, which all have relationship with the Governing Boards. At the basic of this, the author is to analyze the leadership and management of checks and balances in relation to U.S.Governing Boards and presidents.
