电子商务作为新生事物,在给人们带来快捷、方便、廉价的同时,也产生了大量的法律问题,其中消费者权益在电子商务中不能得到保障的问题日益突出。由于电子商务本身形式的特殊性,故其交易合同多采用格式合同,这固然给商家带来便利,但同时也对消费者的权益问题造成隐患,成为制约电子商务发展的法律瓶颈,而相关法律却还尚显空白,因此及时解决这个问题,不论是在立法,还是司法实践上都有重大意义。本文就我国目前的格式条款现状进行分析,探讨了格式条款相关概念、法律效力和解释问题,又从立法、司法、行政和社会力量等方面对国外、国内应对格式条款的现有措施进行了对比分析,从而提出相应的规制原则和解决方案,最后得出一点粗浅的结论,以期能够实现电子商务中格式条款的合同正义,对消费者权益的维护和市场交易的公平尽一点微薄之力。 |

As a new trade model, electronic commerce makes trade expedite, convenient, and cost less. However, it also brings about a lot of law problems, especially the protection of customer rights. Format Clause is the prevalent contract form in electronic commerce due to the trade’s particularity, which offers convenience for seller but possibly infringe upon customer rights. The lagged legislation has become the bottleneck to the development of electronic commerce. As a result, a series lawmaking and performance problems have appeared to been solved urgently. This article firstly discusses the conception, legal force, and interpretation of the Format Clause ; and introduces China’s laws on Format Clause ; and then compares regulations on such contract between China and other countries from legislative, judicial, executive, and social aspects; and finally gives some regulation principles and solutions for the problem. I expect that such solutions could make Format Clause between seller and customer fairer in electronic commerce and protect customer rights and promote justice of the market trade. |
