在世界企业并购浪潮与政府“走出去”战略的推行中,中国汽车企业的海外并购活动亦迎来了历史上的高峰。然多败少成的并购现实,使经济学界展开了对其中原因的探讨,而并购目标的不当选择就是其重要的因素之一。本文,就中国汽车企业海外并购的目标选择问题,在分析我国汽车企业及其海外并购的现状基础上,通过分析其在目标选择中的特点,总结误区,并进一步以吉利成功并购沃尔沃为例,分析、借鉴其在海外并购目标选择上经验,进而对我国汽车企业海外并购的目标选择提出些许思考与建议。

In the wave of mergers and acquisitions and the implementation of the “go out” strategy, Chinese automotive enterprises’ merger and acquisition also reaches a historical peak. However, there are few successes while many failures, making it more valuable for scholars to investigate the true reasons, among which the failure in the choice of the merged enterprise is an important factor. This paper, focus on the choice of the merged enterprise in Chinese automotive enterprises’ merger and acquisition. Based on the current situation of Chinese automotive enterprises and their merger and acquisition, it talks about the characteristics and misunderstandings in the choice of the merged enterprise, then takes the successful merger by Geely to Volvo as an example to put forward some valuable proposals for the merged enterprise choice of Chinese automotive enterprises’ merger and acquisition in a further way.
