从集团公司的发展来看,大都经历了由单一制公司向集团公司过渡的发展阶段。随着中国经济的高速发展,大量的集团公司开始出现,如何改善单一制管理的弊端,对集团公司实行有效的管理,调动集团总部和成员企业的积极性,发挥有效的协同作用,已成为企业集团的管理者思考的主题。管控模式是指母公司对下属企业基于集分权程度不同而形成的管控策略,是母子公司管理体制的表现形式,反映着各种权力的分配类型。集团管控是近来研究的热点,集团公司对管控模式咨询的需求也较大。每个集团所处的环境、战略及组织结构各不相同,因此集团管控模式必须具有较强的针对性,需要综合考虑企业的战略、组织机构及功能定位。本文运用管控理论,结合管控模式的环境影响因素理论对A集团公司的现行集团管理进行研究,并在此基础上优化设计A集团公司新的管控模式,旨在改善A集团公司的管理效率,同时总结该管控模式对同类型的企业集团的借鉴意义。通过本文的研究,得出主要结论是:1.管控模式的设计需要首先明确集团的发展战略,以战略为出发点,绘制战略地图,以此来指导集团和各子公司的权力配置。2.集团功能定位是权责分配的基本准则,明确的功能定位是组织结构设计的依据,是权力的外在表现形式。3.管控边界是管控模式的核心内容,是职责授权的重要依据。

From the view of group companies’ development history, most of them have experienced the transition from unitary form to group company. With the rapid development of Chinese economy, more and more group companies are emerging. How to realize effective management and mobilizing enthusiasm of the subsidiaries is becoming the main concern of top managers.Management and control model is tactics which based on the degree of centralization and decentralization, which is the management and control form, reflecting the power distribution types. Group management and control is the recent research hotspot, and many management consulting companies have involved in this field. There are big differences in circumstance, strategy and organization structure for each group, so the management control model must be strongly relevant. We should comprehensively consider of each group's strategy, organization and function orientation.Based on the management control theory and control model environment factor theory, this article analyzes the A Group Company's current management control model, and designs a new model for the Group. The new management control model aims at improving the efficiency of management of the A Group Company.The conclusion of this article is as followed: Firstly, management control model designing needs to make clear of the strategy of the group development. Strategy map is the power allocation guide of headquarters and subsidiaries. Secondly, group function orientation is the basic criterion of power allocation, to which organization structure needs to refer. Lastly, control boundary is the core of management control model, and it is the important reference for duty authorized
