日本作为大陆法系的代表国家，具有完善的外资并购法律监管体系。本文从外资并购的基本概念分析入手，首先从宏观上阐述了中日当前外资并购监管体系。论文进而对中日两国外资并购法律制度的具体内容，如危害国家安全性审查、反垄断审查以及公司持股和收购上市公司审查等进行了比较研究。最后，论文从以下几个方面对如何借鉴日本法律经验来完善我国外资并购监管法律制度提出了建设性的意见：包括健全外资并购法律体系、保障国民经济安全、清晰反垄断的界定范围以及完善公司持股与公司上市审查制度等。

Japan，as a representative country of Civil Law， has well-developed legal M&A systems . This paper begins with analyzing the concept of foreign M&A， exploring current Japanese and Chinese legal M&A systems， and comparing Japanese and Chinese legal systems of national safety， monopoly and purchase of listed companies. From the aspects of ensuring national safety， clarifying boundaries of monopoly， and modifying systems about purchasing listed companies， the paper lastly emphasizes on how to improve Chinese legal system of foreign M&A in reference of Japanese legal system.
