在企业组织构成形式中,家族企业是一种最为重要的形式,在世界各地都有存在。改革开放中对企业所有制进行了改革,使得家族企业在我国迅速发展,在市场经济中占据了不小的比例,对国民经济的发展起到重要影响。当前,我国的家族企业处于成长调整期,受到国内经济环境以及社会体制的影响,企业内部存在严重的治理问题。 在本文中,笔者通过学习大量国内外文献,对家族企业及其内部治理进行了理论分析,联系国内家族企业当前的治理状况与特征,对国内家族企业当前在内部治理机制上面临的问题进行来了研究,并致力于制定一个符合国内家族企业实际需求的内部治理机制,搭建出科学高效的内部治理模型。本文根据发现、分析、解决具体问题的思路展开研究,运用了规范分析方法,以恒泰伟业为例,首先对公司目前的内部治理结构进行简要介绍,然后重点讨论了公司目前治理机制存在的一些不足,并设计问卷进行调查。针对存在的不足,笔者提出了一系列改进策略,其关键是对家族企业进行职业化的管理,规范当前的治理结构,向现代化的家族企业发展,以顺利度过难关。根据大量的实例分析,我们很容易发现在企业兴衰过程中,内部治理结构起到了重要影响。因此,借助于企业内部治理机制的改革与完善,来应对发展中可能会面临的一些问题是可行的,能够帮助国内的家族企业走出发展困境,实现可持续的发展。

In the enterprise organization form, family business is one of the most important forms in the world have existed. Reform and opening up of corporate ownership of the reform, causes the family firm in our country is developing rapidly, occupies a small proportion in the market economy, an important influence on the development of the national economy. At present, China's family enterprise in the growth period of adjustment, affected by the domestic economic environment and social system, the serious governance problems existing in the enterprise internal.In this paper, the author through the study of a large number of domestic and foreign literature, and internal governance of family enterprise is analyzed in theory, the governance and the characteristics of the current domestic family business contact, on the domestic family enterprise facing in the internal governance mechanism on the problem to study, and is committed to develop a consistent with the actual demand of domestic family enterprise the internal governance mechanism, set up a scientific and efficient internal management model. According to the findings, analysis, research to solve the specific problems of ideas, using the standard analysis method, in order to Albert Hengtai as an example, first carries on the brief introduction to the internal governance structure of the company at present, and then discusses some problems currently existing governance mechanism, and the design of questionnaire. In view of the existing problems, the author puts forward a series of improvement strategy, the key is to occupation management of family enterprises, standardize the current governance structure, to the development of modern family enterprises, in order to successfully survive. According to the analysis of a large number of examples, we easily found in the rise and fall of business process, the internal governance structure has played an important impact. Therefore, to reform and improve with the help of the internal governance mechanism, some of the problems may be confronted in the development of response is feasible, and can help the domestic family business out of the dilemma of development, achieve sustainable development.
